RUGS_EU TERMS AND CONDITIONS OF SALE 

of the company RUGS EU Sp. z o.o.  registered in BIAŁYSTOK by means of online shopping

 

I. Introduction

 

  1. These Rules (hereinafter referred to as the 'Rules') shall define the principles and conditions of placing orders and making purchases in the online shop of the company RUGS EU Sp. Z. o.o., based in Białystok (hereinafter referred to as the 'Shop').

  2. The Shop sells goods to natural persons (who are at least 13 years old - Article 11-24 of the Civil Code - if this condition is not fulfilled, the contract shall be non-binding) and business entities (hereinafter referred to as the "Customers"). 

  3. Placing an order by the Customer is equivalent to accepting the provisions of the Regulations. The content of the Regulations shall constitute an integral part of the contract between the Shop owner and the Customer using its services.

  4. The RUGS EU online shop operates at www.rugseu.com and is run by RUGS EU Sp. z o.o. with the registered address in Białystok (15-281) ul. Legionowa 9/1 loc. 123; acting on the basis of the entry in the National Court Register no. KRS:0000910100, NIP: 5423437416; REGON: 389391329, registered contact phone number +48 536 284 783.

  5. The shop sells its goods only via the Internet.

  6. Orders are accepted via the website www.rugseu.com. Orders are accepted 24 hours a day throughout the year. Orders placed on weekdays after 2 p.m., on Saturdays, Sundays and public holidays in accordance with the Act of 18 January 1951 of public holidays (Dz. U. of 1951r. No. 4, item 28 as amended), shall be executed on the next working day. RUGS EU shop shall not process orders on the following days: 

  • New Year's Day

  • first and second day of Easter

  • 1 - 3 May

  • 1st and 11th November

  • 23 - 31 December

 

The Company RUGS EU Sp. z o.o. with the seat in Białystok, having informed the Customer via e-mail, may set additional days on which the orders shall not be delivered.

 7.  The process pf providing services by RUGS EU Sp. z o.o. with its registered office in Białystok starts at the moment when the user conducts                 registration and ends at the moment of de-registration. User registration shall be understood as creation of a profile in the Shop's system. If the             User wants to delete his/her profile, he/she should send an e-mail to info@rugseu.com.

 8.  The user must not transfer his or her password to any third party. The user is responsible for orders placed using his/her account by third parties         and for all obligations arising therefrom, unless he/she is not at fault for disclosing the password. 

 9.  By registering in the Shop, the User agrees to receive commercial information from RUGS EU Sp. z o.o. with its registered office in Białystok.

 

 

II. Taking and processing orders

 

  1. Information about the goods are published on the Shop’s website www.rugseu.com. Goods presented on the website ‘Online Shop’ do not constitute an offer within the meaning of the Civil Code, but only an invitation to negotiate.

  2. Customer orders are accepted via the website www.rugseu.com. Orders can be placed 24 hours a day throughout the year, subject to point I.6 of the Terms and Conditions. Placing an order shall be understood as filling in and sending an order form on the Shop's website. Placing an order constitutes an offer to purchase goods. The Customer is obliged to complete the order form fully and in accordance with the facts.

  3. By placing an order, the Customer confirms that he or she knows that there is an obligation to pay beforehand and shall decide on the following: 

  • select the goods they wish to order/purchase,

  • the choice of the method of delivery and the delivery address - indicating the data for the invoice (these may be different addresses),

  • choice of payment method.

 4.  After placing an order (registering the order in the sales system by the Shop personnel), the Customer receives an e-mail message confirming that         the order has reached the Shop. The sales contract is concluded when the Seller confirms that the order has been accepted for fulfilment.

 5.  The Store begins processing the order:

  • in the case of orders paid by bank transfer - when the money is credited to the account of the Shop,

  • in the case of orders paid by Internet payment system - after the Seller receives confirmation of positive verification of the transaction from the Internet payment system.

  • In the case of choosing the method of payment by bank transfer, the goods are shipped upon receipt of funds to the bank account in the amount of 100% of the value of the order including shipping.

 6.  In any case, the Seller reserves the right to verify the order. The order will be considered placed only if the order form includes all the data                   allowing for proper identification of the Customer, especially contact phone number or e-mail address and address.

 7.  If the goods are unavailable or part of the goods covered by the order is unavailable (the goods are not in stock or at the Shop's suppliers) the           Customer is immediately informed of the above by the Shop's staff. Further actions related to the order are agreed individually with the Customer         by the Store's employees.

 8.  A limited number of products is intended for promotional sales and clearance sales, and orders are processed in the order in which confirmed             orders are received for those products, until the stocks covered by that form of sale run out. If any promotional or sale items are sold out, the Shop       will inform the Customer of this fact. In this case, the Store will be entitled to withdraw from the contract on the terms and conditions set out in this         Regulation.

 9.  When an order is completed, a VAT invoice or receipt is issued, according to the customer's instructions given in the order.

 

II. Amendments to contracts

 

  1. The Customer can make changes to the order until it is processed (that is, until the Store confirms acceptance of the order for processing).

  2. Changes to an order accepted for fulfilment can only be made by contacting us by phone on +48 536 284 783 at info@rugseu.com.

  3. Modifications to the data concerning the Customer's address, delivery address and those containing orders for the return of overpayment will be accepted for execution only if the instruction is sent from the e-mail address registered in the Customer's Account.

 

IV. Prices of the goods

 

  1. All the product prices displayed on the Shop's website are in Polish zloty and Euro and include VAT.

  2. The price listed next to each product is binding at the time the customer places their order.

  3. The shop reserves the right to change the prices of goods on offer in the shop, add new goods to the shop's offer, conduct and cancel promotional campaigns on the shop's website or make changes to them. The above right does not affect the prices of goods in orders placed before the effective date of a price change, promotional campaign or sale.

  4. The goods are delivered in the manner chosen by the Customer and specified in the order. Delivery costs will be added to the order, according to the delivery price list valid on the day of placing the order by the Customer. The table containing information on delivery costs is available at www.rugseu.com.

  5. Delivery costs:

  • courier service up to 30 kg - ..... zł 

  • courier shipments from 30 to 60 kg - ..... zł 

  • courier shipment - each next commenced 70 kg - ..... zł 

  • for purchases over PLN - free shipping. 

 

V. Order processing time

 

  1. The order processing time includes the time of preparing the order for shipment and the delivery time.

  2. The estimated time of preparing the order for shipment is given next to each product. An order for goods with different lead times shall be dispatched at the time of completing the entire shipment. The dispatch date is determined on the basis of the goods with the longest lead time.

  3. Orders are delivered via courier company to the address indicated by the Customer.

  4. Orders are executed in the territory of the Republic of Poland. Orders outside the Polish borders on the territory of the EU, will be on condition that it will be a registered business.

  5. Method and delivery times declared by carriers for orders:

  • courier company, estimated delivery time within the territory of Poland up to 5 working days and within the territory European Union up to 7 working days. The above times are the times declared by the courier company.

 6.  The shop is not responsible for non-delivery of goods or delay in delivery caused by an incorrect address given by the customer.

 

VI. Forms of payment and overpayments

 

  1. The Customer can choose the following forms of payment for the ordered goods:

  • payment by credit card 

  • electronic transfer or credit card via electronic payment systems regardless of the form of delivery/collection;

  • payment cards: VISA, VISA ELECTRON, MASTERCARD, MASTERCARD ELECTRINIC, MAESTRO,

  • bank transfer carried out from any bank or postal order to the account PKO BP 10 1020 1332 0000 1202 1296 4161 regardless of the form of delivery/collection.

 2.  In the case of selected products, due to their characteristics or value, the Shop reserves the right to exclude certain methods of delivering orders or       forms of payment for the order. Detailed information in this regard is provided directly in the product description.

 3.  The online payment service provider is PayPal .

VII. Complaints, returns, guarantee

 

  1. Complaints

  2. The shop is responsible to the buyer if the sold thing has a physical or legal defect. The shop is liable under the warranty if the physical defect is found before the expiry of a period of 2 years from the date of issue of the product to the customer.

  3. The shop will respond to the customer complaint within 14 calendar days and notify the customer of the further procedure. In order for the Store to deal with a complaint, the Customer should, in person or by Poczta Polska or courier, deliver the product(s) complained about and the proof of purchase of the product(s) to the Collection Point, together with a description of the complaint. The Customer is advised to provide the following information in the description of the complaint:

  • information and circumstances regarding the subject matter of the complaint, in particular the type and date of the non-conformity/defect

  • request for the manner of bringing the Product into conformity with the Sales Agreement or a declaration on price reduction or withdrawal from the Sales Agreement; 

  • and contact details of the complainant.

 4.  If the complaint is decided in favour of the Customer - the Shop will immediately replace the defective product with a product free from defects or         remove the defect. This does not affect the possibility of the Customer to make a statement on reducing the price or withdrawing from the contract         in accordance with the applicable regulations. If it is not possible to replace the product, remove the defect or reduce the price, the Store will               return the amount due immediately in accordance with applicable law.

 5.  A customer purchasing a product for a purpose directly related to his professional or business activity (a non-consumer customer) has the right to         make a complaint in accordance with the applicable legal provisions, with the Shop's liability under the warranty for physical defects in products         being limited to the amount paid by the customer to the Store for the purchase of the product in question.

 6.  The costs related to sending back the faulty goods will be reimbursed by the Store within 21 days of the positive decision (acceptance) of the               complaint. 

 7.  Warranty

 8.  The information about the products offered for sale placed on the Shop's website, such as their description, composition, packaging weight and           other information, comes from the manufacturers. The Store makes every effort to ensure that they are correct and up-to-date, but it shall not be             held liable for their inconsistency with the actual state of affairs. Before using the products the Customer is obliged to read the information placed         by the manufacturer on the product packaging.

 9.  The shop guarantees the safety of transactions and certainty of returns. 

10. The guarantee does not include:

  • mechanical damage caused during operation or delivery for repair,

  • improper or inconsistent with the instructions for use of the product,

  • use of improper consumables,

  • repairs made by unauthorized persons,

 

VIII. Right of Withdrawal

 

  1. If the buyer is a consumer within the meaning of Article 221 of the Civil Code, then on the basis of the Act of 24 June 2014 on consumer rights (Journal of Laws of 2014, item 827, as amended), he has the right to withdraw from the contract in accordance with Articles 27-38 of the same Act. 

  2. The buyer, within 14 days of receiving the product, may withdraw from the contract without giving any reason and without incurring costs, except for those referred to in Articles 33, 34(2) and 35 of the aforementioned Act. 

  3. The withdrawal shall be made by submitting a written statement which shall be sent to the address of RUGS EU Sp. z o.o. headquarters, 15-281 Białystok, Legionowa 9/1 loc.123 - by registered mail. In order to meet the deadline, it shall be sufficient to send the written statement before its expiry - the date of the postmark shall be decisive (specimen statement of withdrawal from the agreement).

  4. In the case of effective exercise of the right of withdrawal, the contract shall be considered as not concluded and the buyer shall be free from any obligations. The buyer and the Shop's services shall be returned in an unchanged condition, unless the change was necessary within the limits of ordinary management.

  5. The Customer is obliged to return the goods which he has withdrawn from immediately, but not later than within 14 days from the date on which he has withdrawn from the agreement. Returned goods should be sent back together with the proof of purchase received with them. 

  6. The Store shall return to the customer all payments made by the latter, including the costs of delivery of the goods, immediately and not later than within 14 days of receipt of the statement of withdrawal. The return of the payment made by the Store will be made in the same way as the method of payment, unless it results otherwise from the declaration of the customer included in the statement of withdrawal and it does not involve any costs for him. 

  7. The right of withdrawal shall also apply to entities carrying out business activities on the basis and within the limits set out by law.

  8. It is not possible to withdraw from the contract if the non-compliance with the contract is insignificant or the prerequisites of art. 38 item. 5 of the Act of 30 May 2014 on consumer rights.

 

IX. Personal data

 

  1. The administrator of Customer's personal data collected by the Online Shop is the Seller.

  2. By placing an order at the Shop, the Customer agrees to the implementation of their personal data in the company's database and its processing for the purpose of the contract. Providing personal data by the Customer and consent to their processing are necessary to carry out the order by the Shop. The Customer is responsible for providing false personal data.

  3. Personal data is protected in accordance with the Act of 29.08.1997 on the protection of personal data (Journal of Laws No. 133 item 883 as amended) in a manner that prevents access by third parties.

  4. The personal data shall be processed by RUGS EU Sp. z o.o. with its registered office in Białystok:

  • for the purpose of creating a Customer account and processing an order,

  • if the customer has given his consent, for the purpose of sending electronic commercial information by Rugs EU Store.

 5.  Every customer has the right to access their data and demand their supplementation, update, correction, temporary or permanent suspension of           their processing or deletion, if they are incomplete, outdated, untrue or have been collected in violation of law or are no longer required for the           purpose for which they were collected, and also has the right to submit a written request to cease processing their personal data. The Customer,           after registering, can make changes referred to in the previous sentence on his/her own.

 6.  Personal data entrusted to the Shop are stored and secured in accordance with the principles set out in applicable law.

 

X. Final provisions

 

  1. Recording, security and access to the important provisions of the concluded contract is done by printing and giving the customer together with the shipment of the VAT invoice or receipt.

  2. The competent court for any disputes arising from the contract of sale is the court established by generally applicable law.

  3. In matters not covered by these Terms and Conditions, the provisions of applicable law, in particular the Civil Code and the Consumer Rights Act, shall apply.

  4. These Regulations are valid from 01.11.2021 and apply to all orders placed after that date.
